pay rates for water, electricity, gas and telephone and all rates
imposed in respect of tenant's fixtures; .

not assign or sublet, transfer, mortgage or encumber the Lands without
the prior written approval of the City Council;

not do or fail to do any act which will permit a lien to be created on
the Lands;

repair and maintain the track, testing and running grounds and al!
improvements on or to be erected on the Lands in a good and proper’
manner, satisfactory to the City, with the exception of the parking area
referred to in paragraph 4 herein which once constructed wi!l be

maintained by the City;

(g) deliver up vacant possession of the Lands at the exptration of the Term
or any renewal thereof.

The Lessee covenants and agrees to be responsibie for providing and
constructing:

(a) a bicycle moto cross racing track, testing and running grounds; and

(b) a parking area.

The Lessee shal! not alter the existing design and construction of the
track, testing and running grounds except with the approval of the Parks and
Recreation Director of the City.

At all times the Lessee shal! be responsible for ensuring that the track,
testing and running grounds and parking area have proper drainage facilities
to the satisfaction of the City Engineer of the City. —

The Lessee shall at ail times be responsible for the conduct of a! | persons
antering onto the Lands during the Term of the Lease and in particular will-
be responsible for the conduct of al! spectators and participants during
conferences, meetings or exhibitions pertaining to bicycle moto cross racing
held on the Lands.

Following any conference, meeting or exhibition on the Lands the Lessee
shai! ensure that the Lands are free from litter and all other refuse.

The City:
(a) covenants with the Lessee for quiet enjoyment;

(b) may,. at its option, re-enter and take possession of the Lands at any
time fol lowing:

nonpayment of any monies owing under this Agreement on or before the
day and in the amount stipuiated by this Agreement;

nonperformance of the convenants or any of them contained in this
Agreement;

seizure or forfeiture of the Term; or

creation of a tien on the Lands.
