GENERAL CONDITIONS
CONSULTANT RESPONSIBILITIES

The Consultant shall provide, in a professional
manner, the services defined in Schedule B:
Consulting Services.

The Consultant shall be mutually responsible with
the Client for maintaining the requirements of
Schedule D: Project Time Schedule, with each
assuming further individual responsibilities as
identified in Schedule D and the General Conditions
of this Agreement.

The Consultant shall not, without the written
consent of the Client, assign the benefit of or
delegate its obligations under this Agreement in
whole or in part.

The Consultant shall maintain the designated project
team and make substitutions only with the written
consent of the Client.

The Consultant shall consider information from the
Client as confidential and shall make use of such
information only as is required for executing the
requirements of the Project.

The Consultant shall maintain all relevant documents
pertaining to the Project for a minimum one year
period after completion of the Project.

The Consultant shall execute free of expense to the
Client any work required due to errors or omissions
which are the fault of the Consultant, without
prejudice to any claim the Client may have against
the Consultant.

CLIENT RESPONSIBILITIES

The Client shall make payments to the Consultants in
accordance with the General Conditions of this
agreement, and with Schedule C: Compensation.

The Client shall be mutually responsible with the
Consultant for maintaining the requirements of
Schedule D: Project Time Schedule, with each
assuming further individual responsibilities as
identified in Schedule D and the General Conditions
of this Agreement.
