and sutficiency of which are hereby acknowledged), the parties

Subjact to the prior consent of the Commission, the Assignor
hereby gqronts and agsigng to the Agsignee affective the let
day of December 1992 (the "Commencement. Date") the Leased
Pramiges togecthar with the unexpirad residue of the term of
the Lease and the Lease (a1) of which are sometimas
hereinafter referred to collectively as the "sald premises")
and all benetit and advantage to be derived therefrom, to hold
the aame unto tha Agsignae for the residue of the term thercby
granted, and for all other tha eatate, term and interest of
the Asaigqner therein SUBJECT TO the payment of rent and the
performance of the Lessee's covenants and agreements in the
Leage recerved and contained.

Tha Assignor hereby covenants with the Assignee that, subject
to the Commission's prior consent to this Assignment:

(a) the Lease is a good, valid and subaiating Lease and the
current 1992 annual rent of $3,834.74 thereby reserved
has been duly paid and there are no liens or encumbrances
in reapoct of the Lease created by the Assignor;

tha covenants and conditions contained {tn the Leage on
the part of the Lessee therein to ba observed and
performed will have been duly observed and performed by
the Asgsignor up to and including the Commencemant Date;

tha Asgignor hag the right to assign the Lease in the
manner aforesaid:

subject to the paymant of the rent and the paxformance
of the Lassee's covenants as set out in the Lease, it
shal), be lawful for the Assignee peaceably and quietly
to hold, occupy and enjoy tha said premises hereby
granted by tha Lease without any interruption by the
Aapignor or any pergon claiming under it, free from all
charges and encumbrances whatsoever created by the
Agoignor;

the Assignor and all percons lawfully claiming under it
will, at all times hereaftar, at the request and cost of
the Assignee, confirm to the Assignee the said premises
foy the residue of the caid term aa the Assignees shall
reasonably require; and

the Ageignor hereby covenants and agrees with the
Acaignee that, from and after tha Commencement Date, the
Assignor will indemnify and save harmlosa the Assignee
and its officers, officials, agents and employees from
