If a tien is created on the lands or any part thereof or if the term sha!|
be at any time seized or taken in execution or in attachment by any creditor
of the lessee, or if the lessee shail make any assignment for the benefit of
creditors, or becciming bankrupt or insolvent, shall take the benefit of any
act which may be in force for bankrupt or insolvent debtors, then the Term
shall immediately become forfeited and void.

The City grants Lands to the Lessee for the Term solely for the purpose of
constructing and operating tracks, testing and running grounds for bicycle
moto cross racing and for Purposes incidental and ancillary thereto,

The Lessee shal! Insure and keep insured while this Agreement or any renewal
thereof is in force, with such companies and on such forms as are acceptable
to the City, at the Lessee's expense, Comprehensive Genera! Liability
insurance covering:

(a) bodily injury, persona! injury and Property damage |iability;

_ (b) premises and operations liability;

- (¢) .contractural tiabllity;
(d) non-owned automobile liability;
(@) products and compieted operations liability;
(f) contingent employer's liability; and

(g) owner's and contractor's contingency liability with respect to operators
and subcontractors,

in addition to the foregoing:

(a) the limits of liability for Personal Injury, Bodily Injury and Property
Damage combined sha! | be for not less than Two Million ($2,000,000.00)

Dollars each occurrence; -

the City shall be added as an additional named insured, under the
Comprehensive Genera! Liability insurance;

a Cross Liability clause shall be made part of the Comprehensive General
Liability Insurance;

all policies shal! provide that they cannot be cancelled, lapsed or
materially changed without at least thirty (30) days notice to the City
by Registered Mai];

and

(e@) upon execution of this Agreement the Lessee shal! file with the City a
certified copy of each insurance policy required,

Should the Lessee neglect to obtain and maintain insurance or either of
these as aforesaid or deliver such policy or policies to the City, then it
shall be lawful! for the City to obtain and maintain such insurance or either
of these, and the Lessee hereby appoints the City as true and tawful agent
