Verrere fe shall remain unpaid sfrer thirty days of receipt of the same by the Developer the Municipality is authorized to deduct the snount of such invoice fron the deposit referred to in Section 12 hereof, Maintenance of Works by Developer: The Developer covenancs and agrees ta: (a) Maintain all of the said works to be built pursuant to this Contract in cosplete repair for a period of one (1) year from the completion thereof as certified by the Municipal Engineer. (b) Remedy any defects appearing within the period of one (1) year fron the date of such completion of the said works and pay for any damage to other work or property resulting thereiron ¢ save and except for defects caused by reasonable wear and tear, negligence of the Municipality, its servants or agents, or act of God, and (c) Deposit with the Munt cipality, prior to the release of the security pursuant to Seetion 12 hereof, for a Period of one (1) year froa the conpletion of the ‘said works as certified by the Municipal Engineer, the cum of Four Thousand Eight Hundred Sixty-eight ($4,868.00) Doliars, and should the Developer fail to maintain the said works, tenedy any defect or pay for any damage Tesulting therefrom, the Municipality ‘nay deduct the cost of coupleting the said works, remedying the defect or paying the damage from the said deposit. Owmership: 16. All works and services (save and except gas, telephone and electricity), buildings, structures, pipes, fixrures and things, and developneat construéted, placed or carried out upon property that now is vested in the Municipality or located upon highways Presently dedicated or by this Contract required to be dedicated shall, upon acceptance thereof by the Municipality in writing, become the property of the Muaicipaliry, free and clear of any and all claims by the Developer and any person claining through the Developer, and the Developer shall and hereby agrees to save harnless the Municipality from any and all such claims. Future Maintenance of Works by Municipality: 1. The Municipality shall, on the expiration of one (1) year from the date of acceptance, become solely responsible for the operation, upkeep and maintenance. of any works and services, and any building, 6+ structuce, pipes, fixtures and things and development accepted by it pursuant to Section 16 hereof, . General Superintendent: . 18, The Developer shall not employ any person who, in the opinion of the Municipal Engineer, is unfit or not skilled in the work assigned to’ him. ‘The Developer shall at all times in ion with the ion of the work, keep and employ a competent general superintendent capable of speaking, reading and writing the English language, and any explanations, orders, instructions, directions ‘and requests given by the Municipality to such superintendent shall be held to have been given to the Developer. Compliance with By-laws! 19. Subject to thie Contract, the within works and the development herein shall couply with all the By~laws of The Corporation of the City of Port Coquitien. As built Drawings: 20. Ths Developer shall submit to the Municipality the final - reproducible as butit drawings of all services as constructed and 38 approved by the Municipal Engineer. Payment of Taxes and Other Fees and Costs: The Developer covenants and agrees to: (a) Pay all arrears of taxes outstanding against the land herein - described before the formal approval of the said development plans. (b) The Developer further undertakes to pay ali current taxes levied or to be levied on the land on the basis and in accordance with the assessuent and collector's roll entries. Indennifications of Municipalit 22, The Developer covenants to save harmless and effectually indeanify the Municipality against: . {a} All actions and Proceedings, costs, damages, expenses, clains and demands whatsoever and by whomsoever brought by reason of the construction of the said works. . {b) All expenses and costs which may be incurred by reason of the execution of the said works Tesulting in damage to sny property owned in whole or in part by the Municipality, or which the Monicipalicy by dury or custom is obliged, directly or indirectly, in any way or to any degree, to constauct, repair or maintain, io ject ees
