Scope of Services: Scope of services means the extent of

consulting services required to execute the requirements of
the project as defined in this Agreement by: the planning
steps constituting the project, indicated measures of scope
for each step, and the defined distribution of Consultant
and Client responsibilities for producing information input

requirements for the project.

Basic Services: Basic Services means those Consulting

Services defined in this Agreement as within the Scope of
services,

Additional Services: Additional Services means Consulting

Services provided in addition to the Scope of Services
defined in this Agreement. °

Extras to the Contract: Bxtras to the Contract means

payment for Consulting Services provided where additional
work is required by the Consultant to complete the defined
Scope of Services through a failure of the Client to

perform in accordance with Client responsibilities defined

in this Agreement.

Contract Type: As specified in Schedule c: Compensation,

based on the method of compensation, this Agreement will be
one of the following: -

Stipulated Sum Contract: in which case the Consultant
shall perform a specified scope of work for a stipulated

compensation sum.

Fee For Services Contract: in which case the Consultant
shall perform a generally identified scope of work to
achieve specified Project objectives, where compensation
is based on actual time expended at’ specified hourly rates
and not based on a Stipulated contract sum,

Fee For Services/Specified Upset Contract: in which case
the Consultant shall perform a specified scope of work in
accordance with a budget estimate, where compensation is
based on actual time expended at specified hourly rates up
to a specified upset amount. As specified in Schedule c:
Compensation, the Consultant May Or may not share in the
difference between the actual contract expenditure and the

upset amount,

Subconsultant: Subconsultant means an individual or firm

with a separate agreement with the Consultant for the
execution of a part of the Project.

Other Consultant: Other Consultant means an individual or
firm with a separate agreement with the Client for
executing work other than that covered by this Agreement.
