this Agreement, under the Provisions of the Municipal Act
R.S.B.C. 1979, co. 290 (the "Act") or otherwise.

5. Canfor indemnifies the City and saves the City harmless
from any and all liability whatsoever arising as a result of the
Easement, the Works or this Agreement including, but without
restricting the generality of the foregoing, any and all claims
for loss or injury to persons or to property due to Canfor's
negligence or to Canfor's failure to comply with the City's
bylaws or any one of them or with any provisions of this

Agreement.

6. This Agreement shall not in any way restrict the right
of the City at any and all times to enter in, on and upon the
area below, above or around the Easement for the purpose of
constructing, maintaining, inspecting or removing any public
works or utility and Cenfor INDEMNIFIES the City for any
additional costs of construction, maintenance, inspection or
removing of any public works or utility which the City. may incur
as a result of Canfor's conveyor structure impeding access to the
Servient Lands AND FURTHERMORE Canfor indemnifies, saves
harmless, releases and forever discharges the City from and
against all manner of actions, causes of action, claims, debts,
suits, demands and promises whatsoever at law or at equity
whether known or unknown which Canfor or any other person now has
or may at any time have against the City by reason of Canfor's
conveyor structure causing any delay in the construction,
maintenance and repair to the Servient Lands and any of the
public works or utilities located thereon or by xeason of
Canfor's conveyor structure causing any delay or prevention of
the City's right of uninterrupted passage on the travelled
portion of the Servient Lands.

7. This Agreement shall not in any way restrict the right
of the City at any time to.widen, raise or lower the dyke, road
