THIS AGREEMENT made the day of November, 1976, BETWEEN: TKE CORPORATION OF THE CITY OF PORT COQUITLAM, a body corporate and politic, with offices at 2272 McAllister Avenue, Port, Coquitlam, British Columbia, (hereinafter callvd the "City") OF THE FIRST PART, NORTHVEST MOVIE CENTRES LTD., a company incorporated under the laws of the Province of Sritish Columbia and havine its registered office at 1300-409 Granville Stree > Vancouver, British Columbia, (hereinafter called "Northwest" ) OF THE SECOND PART. WHEREAS: A, Northwest operates a novie theatre (hereinafter called the "Theatre") tn leased premises at 261); Shaughnessy Street, Port Coquitlam, British’ Columbia and is obliged under the by-laws of the City te provide 40 Parking stails for use by patrons of the Theatre; B. : ' Northwest has leased from Canadian Imperial Bank of Commerce under a lease dated duly 27th, 1976 . the lands adjoining . the Theatre more Particularly described as follows Lot. C, Block 1, District Lot 379, Plan 16549 (hereinafter called the “Leased Lands") and has created thereon 19 of the required 40 Parking stalls and has landscaped the Leased Lands in eecordance with a plan prepared by the Engineering . Department of the City; c. The parties hereto have agreed upon the provisions of the remaining 21 required parking stalls as hereinafter set out; 1 So long-as 19 of the 40 Parking stalis required to be provided by Northwest under the City’s by-laws in connection with the Theatre are provided on the Leased Lands: (a) Northwest's remaining requirement of 22 parking stalls shall be met by the City at no charge to Northwest out of parking areas owned or controlled by the City, but the City shall not be obliged to designate 21 specifi¢ parking stalls for the exclusive use of Northwest's patrons; The City shall have the exclusive right and license at no charge to the City to use, occupy, regulate and control the Leased Lands for Parking purposes only between the hours of 8:00 A.M. and 5:00 P.M. from Monday to Friday inclusive each week; The City shall be entitled to charge such - fees for parking on the Leased Lands during the periods Specified in sub-paragraph (b} as it may think fits; to install parking meters at its own expense On the Leased Lands; and to retain all fees collected by such parking ‘meters or otherwise for its own use and benefit absolutely; The City shall indemnify and save harmless Northwest from and against all actions, suits, Claims and demands of whatsoever nature or kind which may be brought by any person against Northwest arising out of the use, occupation, regulation cr control of the Leased Lands during the periods specified in sub-paragraph (b) and from and against all loss, cost, liability, damages and expense suffered or incurred by Northwest by reason of the use, Occupation, regulation or sontrol of the Leased Lands by the City.
