("Canfor")

.. WHEREAS the City is the registered owner of the lands

defined herein;

7 AND WHEREAS Canfor requires and the City has agreed to
grant to Canfor its successors and assigns the Easement to be
defined as set out herein;

AND WHEREAS the Easement is necessary for the operation
and maintenance of Canfor's undertaking; .

NOW THEREFORE in consideration of the premises, the sum
of ONE DOLLAR receipt of which from Canfor is hereby acknowledged
by the City and other good and valuable consideration THE PARTIES

AGREE AS FOQLLOWS: .

1. The City shall grant to Canfor its successors and

assigns the right at all times to enter over and on that portion
of ALL AND SINGULAR that certain parcel of land situate in New
Westminster in British Columbia, and more particularly known as:
