(the "City")

WHEREAS the Owner is the registered owner of that
certain parcel or tract of land and premises, situate, lying and
being in the City of Port Coquitlam, Province of British

Columbia, and more particularly known and described as:

(the "said lands");

AND WHEREAS the said lands are not of sufficient area
to permit the Owner to provide the off-street parking facilities
required by the "City of Port Coquitlam Development Management
Bylaw, 1987, No. 2242";

AND WHEREAS the City holds and has improved a parcel of
real property (hereinafter referred to as the "Parking
Facility"), for the purpose of. providing off-street parking
facilities for the use of the public and the said Parking

Facility is situate within 95 metres from the said lands, as
