MEMORANDUM OF AGREEMENT

In the event of the Lessor, or his agents supplying any form of
entertainnent, at or within the grounds ef the said Event, the Lessor
agrees to have an internission peried of not less than S/A minutes at
a tine starting 3 hours at.:. the start of the afterncon perfornance,

The Lessee (Wagner Shows Ltd.) covenants to save harcless and
effectually indecnify the Lessor (City of Port Cocuitlaz) against all
actions and proceedings, cost, dancges, expenses, claims, and dezands
whatsoever and by whorsoever brought by reasen of the supply and
operation of the Midway Attractions at the said Event.

consisting of rides, shows, games, novelty stands, food booths and other
sinilar concession stands pertaining to the operation of a carnival or
midway, hereinafter called the Midway Attractions~.

It is understood and agreed between the Lessor ard Lessee that ia

the event of flood, fire, inclement veather, icpassable road or

other travel conditions, or any other act of nature cr disaster

beyond the control of the parties naned herein, this agreezent shall be onll
and void and neither party shall have any clain against the other.

AND WHEREAS the Lessor is conducting a ifay Dey Festival at
Port Coquitian, B.C., on May 23) ; 25, 26, and 27th days of 1979, and
hereinafter called the Event. | 32

Now in consideration of being granted the aforezentioned sole

and exclusive rights to supply and operate the said Midvay
Attractions, and for any lecal pernits or licenses required for
operation of sane, and for the adnission to the grounds of the said
Event by the exployees and agents of the Lessee, and thelr equiszest
and vehicles, the Lessee hereby agrees to pay to the Lesser an azcuat
equal to the following:

NOW THEREFORE the Lessee and Lessor agree as follows:

The Lessor hereby grants to the Lessee the sole and exclusive
right to supply and operate all the said Midway Attractions at the
said Event during the aforementioned dates.

The Lessor agrees to supply ground space for the Midway Attractions,
which shall be suitable in size, condition and location, and
agreeable to the Lessee,

(a) 2,500.00 or twenty-five (25%) percent of ride gross, whickever
is greater;
(b) Wagner Shows Ltd. will pay for all parade trophies up to a

value of $400.00.
The Lessor agrees to not suffer or rermit the operation of a like

or sinilar nature to that operated by the Lessee, in whole or part,
