which Lands are referred to in the Main Agreement and herein as "the lands’;

B. Section 12.1.4 of the Main Agreement provides that tha Main
Agreemant can be medizied by agreement of the Clty with the Developer and
Saation 12.1.8 of tha Main Agreament provides that the City and the
Developer will do and cause to be dona te all thiugs and execuce and causa
to be executed all decumencs which may be necassary to give proper effect to
the intention of the Hain Agreement; and .

c, In accordance wath Gentions 12.1.4 and 12.1.9 of the Main
Agreement, the City and the Dewaleper hava agesed to enter inte this
Agreement to anend certain provisions of tha Main Agreement;

NOW THEREFORE THIS AGREEMENT WITHEGSES that in considaration of
chase premigas and the sum of $10.00 now paid by the Developer to cha City
and other good and valuable considaracion (tha raceipt and sufficlency
whereek ia hereby acknowledged by each ef the Developer and the City), the
Developer and the City covenant and agree as follows:
