WHEREAS :

A. The Grantor is the registered owner of land situated in
the City of Port Coquitlam, British Columbia, ard legally described
as:

(the "Lands");

B. The City requires and the Grantor has agreed to grant to
the City the Statutory Right of Way defined herein over a certain
portion of the Lands; and

Cc. This Statutory Right of Way is necessary for the
operation and maintenance of the City's undertaking.

NOW THEREFORE in consideration of the premises, the sum
of ONE ($1.00) DOLLAR now paid by the City to the Grantor, and
other good and valuable consideration, the receipt and sufficiency
