first Party; and

the terms Of this Agreement, Or the Seller may, prior to
Completion of any such sale aforesaid, fulfill its
Obligations under this Agreement, and Genstar and

any liability arising from the default of their
respective Purchasers to the extent of the Obligations
Of such Purchasers hereunder.

Agreement will continue in full force and effect despite
