The City hereby grants to Canada anc the Province a
non-exclusive royalty-free licence to use everything
mentioned in Paragraphs 26 and 27 hereof,
The City will have a non~exclusive royalty-free licence to
copy or publish material in which Canada and the Province
have copyright under paragraph 25 hereof, provided that the
financial Support of Canada and the Province is prominently
Owledged in every such publication.

At any time more than 2 years after completion of the
Project, the City will, at the request of the Minister,
assign to Canada and the Province, as tenants in common, ail
intellectual property owned by the City, arising (at of the
Project, unless the City satisfies the Minister that the City
has made all reasonable efforts to develop and market in the
country of Canada, at a reasonable price, the things to which

the property relates.

Notwithstanding paragraph 30 hereof the City will, if
requested by the Minister, assign to Canada and the Province,
as tenants in common, all intellectual Property owned by the
City and arising out of the Project, if the Minister believes
on reasonable grounds, that there has been or will be a
material change in the Ownership and control of the
intellectual Property such that’ the ownership or ultimate
control of the intellectual property has passed or will pass

out of the country of Canada.
