At any time while Northwest is required to provide
NO parking stalls in accordance with the City's by-laws
2 Connection with the Theatre, if the 19 Parking stalis on
he Leased Lands shail cease to be available to Northwest's
patvo rs and Northwest shall be unable to otherwise meet its
stlisation under the by-laws of the City to provide 4o parking
Stalls for the use by patrons of Northwest:

(2) Northwest's requirement of 40 parking stalls
shall te met by the City out of parking areas
owned cr controlled ty the city, but the City
shall not be obliged to designate 4o specific
parking stalls for the exclusive use of Northwest's
patrons;

Northwest shall Pay to the City with respect to
each of the parking stalls referred to in sub-
Favagraph (a) an intitial capital payment of
$300, which shall not be refundable and shall
nov apply to subsequent monthly charges, and a.
Pee of $7 per month until the parking stall is no
longer required by Northwest; and

Ir the City's customary charges for either

the initial capital Payment or the monthly
payment for parking stalls is changed from time
to time, Northwest shall be bound by the current
rates Of such charges at the time payment shall

become due hereunder.

3. If Northwest sells or Permanently closes the Theatre, this
Agreement shall terminate but Northwest shall inform any purchaser

of the Theatre from Northwest of the provisions of this Agreement and
that the tusiness license issued by the City with respect to the
operation of the Theatre will not be transferred to or re-issued in
the name of the purchaser unless an agreement on substantially the
sar? terms and conditions as those herein contained is entered

into tetweed the City and-the purchaser. .

This Agreement shall enure to the benefit of and
be binding upon the parties hereto, and their respective
Successors and assigns.

IN WITNESS WHEREOF the parties have hereunto caused
