Vancouver, British Columbia

("Canfor")

WHEREAS the City is the registered owner of the Lands
defined herein;

AND WHEREAS Canfor requires and the City has agreed to
grant to Canfor, its successors and assigns the Statutory Right
of Way defined herein;

AND WHEREAS this Statutory Right of Way is necessary
for the operation and maintenance of Canfor's undertaking;

| NOW THEREFORE in consideration of the premises, the sum
Of ONE ($1.00) DOLLAR receipt of which from Canfor is hereby
acknowledged by the City and other good and valuable
Consideration the parties agree as follows:

l. The City grants to Canfor its successors and assigns
