4, The GVRD Board will designate two representatives of the
Participating Municipalities for inclusion on the Board of Directors of

Tourism Vancouver.

5. Notwithstanding the execution and delivery hereof, this Agreement
shall not come into force and effect until the GYRD advises the Corporation
in writing that the GVRD has executed agreements with all of the

Participating Municipalities.

6. This Agreement shall not be assigned in whole or jin part dy either
party without the prior written consent of the other party, such consent
not to be unreasonably withheld.

7. This Agreement shall enure to the benefit of and be binding upon the
successors and permitted assigns of the parties hereto.

IN WITNESS WHEREOF the parties hereto have executed and delivered this
Agreement as of the date first above mentioned.
