Offensive Advertising

As specifically stated in subsection 11.5 of our Agreement, the District shall have the
right to request the company remove any advertising material which violates community
standards. |

Remuneration

Of the jurisdictions we are presently operating in (being Abbotsford, Matsqui, Langley,
Surrey, White Rock, Coquitlam and Burnaby) the highest fee charged by any of these
jurisdictions is ten dollars ($10) per bench per year. In light of the above, we would be
willing to pay $10 per bench per year for each bench placed in the District.

The Agreement, us currently drafted, specifically provides for an annual fee of $10 per
location per year and a $5 inspection fee for any new benches placed in the District.

Insurance

As provided for in section 7 of the Agreement, we agree to provide at least $2,000,000 of
insurance coverage and have the District named as co-insured. We do this as a matter of -
course for any jurisdiction in which we operate.

Formal Agreement

We were the first company (as far as we know) that has gone to the expense of having a
comprehensive agreement drafted which specifically addresses the issues involved in bus
Stop advertising. | | |

In short, we look forward to a long term relationship with the District and for that reason
are more that willing to put our agreement in writing. © os
