THIS AMENDING AGREEMENT dated for reference May 1, 1989,

BETWEEN:

INTERNATIONAL PAPER INDUSTRIES LTD.

(the "Contractor")

THE CORPORATION OF THR CITY OF PORT COQUITLAM
Municipal Hall

2580 Shaughnessy Street

Port Coquitlam, B.c.

V3C 2A8

(the "Municipality")

WHEREAS the Contractor and the Municipality entered
into an agreement dated July 2, 1985 to continue in force until
July 1, 1990 for the bi-weekly curbside pick up of newspaper in

the City (the "Agreement") ;

AND WHEREAS the Contractor has, with the approval of
the Municipality, contracted with Share Community Services

("Share") to carry out the newspaper pick up;

AND WHEREAS the Municipality has agreed to amend the

Agreement to pay Share, as sub-contractor to the Contractor, for

such services as set out herein;

NOW THEREFORE THE PARTIES AGREE AS FOLLOWS:

l. Article 11 of Schedule "gp" of the Agreement which
provides for payment to the Contractor is hereby amended to
provide that the Municipality shall Pay to Share, as the
Contractor's sub-contractor, $33 for each metric ton of newspaper
