IT IS MUTUALLY UNDERSTOOD, agreed and declared by and
between the parties hereto THAT this Indenture shall be construeg asa
restrictive covenant running with the lands and that the covenants
herein contained shall be restrictive covenants running with the lands
and that none of the covenants herein contained shall be personal or
binding upon the Parties hereto, save and except during the Grantor's
seisin or ownership of any interest in the right-of-way, end with
respect only to that portion of the right-of-way of which the Grantor
shall be seised or which it shall have an interest, but that the lands

shall, nevertheless, be and remain at all times charged therewith:

AND THAT, save as aforesaid, nothing in these presents shall

be interpreted so as to restrict or prevent the Grantor from using the

right-of-way in any manner which does not interfere with the security
or efficient functioning of or unobstructed access to the said trunk

sewer line;

AND THAT all expenses incurred in the construction of the
said trunk sewer line and for alterations, repairs and maintenance
thereto, and in the performing of any and all covenants herein agreed
to be performed by the Grantee shal) be borne and paid for by the
Grantee, and the Grantee covenants and agrees to indemnify and save
harmless the Grantor, its Successors and assigns, from any and all
loss, damage or other expenses in any way arising from or caused by

anything done by the Grantee, its agents or employees hereunder;

AND THAT wherever the terns *Crantor* and “Grantee” are used
herein they shall be deemed to include the respective successors and

assigns of such parties wherever the context sc adnits.

IN WITNESS WREREOP the Grantor and the Grantee have hereunto
affixed their corporate seals in the presence of their authorized

signatories as of the day and year first above written.
