OF THE SECOND PART

WHEREAS :

A. Shimizu is the registered owner of the Lands defined
herein; |

B. The City requires and Shimizu agrees to grant to the
City, and others specified herein, the Right of Way defined herein;

Cc. | The Right of Way is necessary for the operation of the
City's works and for public access over, along and upon the Right
of Way;

NOW THEREFORE this Agreement witnesses that in
consideration of the mutual promises contained in this Agreement
and for other good and valuable consideration, the receipt and
sufficiency of which is acknowledged, the parties agree as follows:
