Sports Media Limited and the City of Port Coqui tlam be forwarded to Council for signature. Suite 206 — 4266 Grange Street Burnaby, B.C. V5H 1P2 ("J.Q. Sports Media" ) WHEREAS the City owns and two arenas in the Port. Coquitlam Recreation Centre,I 2150operates Wilson Avenue I Port Coquitlam I B.C. (the "Arena "); AND 1979 c. operation, property; under Section 679 of the Municinal Act R.S.B.C. the City may make regulations governing the control and use of arena property and may rent arena WHEREAS 290 AND WHEREAS J.Q. Sports Media wishes to obtain the right to place certain advertising within the Arenas; NOW THEREFORE this Agreement witnesses that, in consideration of the covenants and agreements set out herein, the parties agree as follows: 1. The City grants to J.Q. Sports Media the exclusive right to place and maintain advertising on the surfaces of the perimeter boards fronting the ice surfaces of the Arenas, excluding the perimeter boards protecting penalty boxes and player's benches, or a period of five years commencing October 20, 1987 and ending October 20, 1992. 2. Advertisements may be placed on the perimeter boards at any time durina this Agreement advertisment may remain in place (subject to the termsandof each this Agreement) for one year following the date of placement. J.Q. Sports Media shall have access to the Arenas at all reasonable times for the purpose of placement of advertising. J.Q. In the final year of this Agreement,anadvertisements may be placed for a pro-rated payment. 4. Payments pursuant to Section 3 of this Agreement shall be made prior to the placement of an advertisement subsequent payments shall be made prior to the anniversary and of the first placement of the advertisement. 5. J.Q. Sports Media shall be responsible for placement of advertising and shall ensure that advertising is secured, painted or printed on perimeter boards creates no obstruction to activities on the ice surface.and Maintenance of advertisements shall be the responsibility of theandCityrepair the City shall replace any advertisement which is stolen or and damaged beyond repair. 6. J.Q. Sports Media place and maintain two advertisements for its own services in may each Arena during the continuance of this Agreement, without charge. 7. The maximum number of advertisements placed in each Arena pursuant to this Agreement shall be 40 at any one time. 8 The City shall have the right refuse placement of or to remove any advertisement which in thetodiscretion of the City is not suitable for placement in the Arenas. Without limiting the foregoing, no advertisement shall make reference to any election, zacial matters, abortion control issues, female personal products, liquor, tobacco oror birth religious matters. 9. J.Q. Sports Media remove any advertisement which has not been renewed for shall the following year, immediately upon termination of the payment for the advertisement. Should J.Q. Sports Media default period in its obligation under this Section, the City may remove the advertisement and the cost of doing so shall be borne by J.Q. Sports ~ Media. 10. J.Q. Sports Media shall indemnify and save i he City harmless from all claims, actions, demands, loss, and resulting costs arising from or related to thedamages, placement of advertising under this Agreement, including without limitation any negligence, defamation or breach of copyright on the part of J.Q. Sports Media or advertisers and their respective employees, agents and contractors. 11. Nothing in this Agreement restricts the right of the City to place or allow the placement of advertising at any location within the Arenas, other than on the perimeter boards as described in Section 1 of this Agreement. 13. This Agreement shall not be assigned by J.Q. Sports Media without the written consent of the City. 14. This Agreement is not a lease of land or buildings.
