MEMORANDUM AS TO ENCUMBRANCES, LIENS AND INTERESTS

Mortgage BG69989, registered against the said lands at the New
Westminster Land Title Office on the lst day of March, 1993 are
herein called the "Interest".

CONSENT TO PRIORITY

The undersigned, being the holder of the Interest referred to in
the memorandum above written, hereby consents to the granting of
this Section 215 Covenant and hereby covenants that this Section
215 Covenant shall bind the Interest in the said lands and shall
rank in priority cn the said lands over the Interest as if the
Section 215 Covenant had been registered prior to the Interest.
