fa) the Agreements;

(¢) any end all benefits and advantages due or accruing due
of ac any time after tha date hereof te become dus under
the Agreements or any extensions or renewala thereof; and

(8) the benefit of 311 covenants, agreements, obligations
and indemnities in respect of the Agreements;

with full power and authority to demand, colleet, sue for,
recover, recwive and give receipts for paymente and te enforee
payment thereunder of the perfarmance of covenants in tha name of
the Aggignee.

3, The Asgignor hereby agrees that the Agsignea ig te have
and to hoik the Agreements and all benefits ang advantages to ba
derived therefrom and the right to enforce payment or the
parformance of covenants thereunder for its scle uge and benefit
forever,

& The Agsignor covanants and warrants to the Assignas that;

(a} mene of the Agreements have been assigned or ctherwige
GnCumbar ead;

the Agsigner has not committed any act or omitted to
Perform any obligation nor haa ie permitted any act or
omission to occur which would be a beaach or default of
its obligations under the Agreements or which would
vitiate the covenants, agreements, obligations,
indgmities or liabilities of any other party to any of
the Agreements:

thé Assignee has received no notice fram any other party
to any of the Agreements of dafault by the Assignor of
ity covenants, agrgements, obligations, indamnities or
liabilities pursuant tea the Agreements:

thera has not been any default by any of the other
parties to any of the Agreements;

ag of the date of thig Aggiqnment, there are no disputes
between the Assignor and any of the other parttiag to the
Agreements concerning any of the Agreement 3 ;

the Assignor has complied with and aQuiy observed and
performed all of its covenants, agreements snd
obligations set forth in the Agreements, and there
exists no state of facts which wauld entitle any other
Party to any of the Agreements to withhold any peyments
thereunder;
