(a) assign to the City all of its right, title and Interest in aij}
the Works;

(b) at all times hereafter execute and del iver at the request of the
City all such further transfers, agreements, documents,
Instruments, statutory rights-of-way, acts, deeds and assurances
and to perform all such acts and things as may be necessary to
give full effect to the intent and meaning of this Agreement; and
(c) submit to the City within 90 days of the issuance of the

Cartificate of Completion the final “as bul lt" drawings of all of

the Works. as constructed and as certified complete by the City

Engineer.

Teo. (a). as security for the due and proper. performance by the Developer

of all of the terms. and conditions in this Agreement, The
os | Developer. has deposited in trust with [ts solicitor the cash sum
of one hundred ninety-nine thousand, eight hundred and ' seventy=
seven dollars ($199,877.00), being the estimated cost of the

(b) the Developer agrees that if for any reason other than those
7 specified in Section 16 hereto The Works are not: completed
pursuant to Sections 3 and 4 hereto, bY the date speci fied in

_ Section 3, the City may by its. employees or contractors. complete

Qf - - the Works at the cost of the Developer and deduct from the
| ‘cast on trust the cost of the Developer's Shara of such
completion, and if there ts insufficient money on deposit with

the City to meet the Developer's share, then the Developer wi | |

pay such deficiency to the City {mmeditately upon receipt of.
