3. Shimizu pemnits the City access to the Right of Way with
or without workers, materials, machinery and equipment required to
Carry out the City Works.

4. The City shall:

accept sole responsibility and expense for:

Carrying out the City Works; and

regulating the flow of traffic within the Right
of Way, by the City and members of the public, so
that the traffic flow does not unreasonably
interfere with Shimizu's right of access across
the Dyke for the Purpose of Shimizu's Business as
hereinafter defined;

Carry out the City Works ina good and workerlike manner
in order to Cause no unnecessary damage or disturbance
to Shimizu, the Lands or any improvement on the Lands;

clear away all rubbish and debris (except rubbish and
debris placed on the Right of Way by Shimizu or its
Servants oar agents) in order to leave the Right of Way
ina reasonably neat ana Clean condition;

keep the Right of Way clear of materials, machinery and
equipment or other obstructions during that time or times
when the City is not Carrying out the City Works;

not obstruct or interfere with Shimizu's passage along
Or access to the Lands, except as provided for in
Paragraph 8 hereof;
